Terms of Service

Welcome to Nouvel. These Terms of Service ("Terms") govern your access to and use of the website and platform at lanouvel.com (the "Platform"), operated by Nouvel ("Nouvel," "we," "us," or "our"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

These Terms cover use of the Platform itself. Marketing services provided by Nouvel to its clients are governed by a separate service agreement between Nouvel and the client. If there is a conflict between these Terms and a signed service agreement, the service agreement controls.

1. Who may use the Platform

The Platform is intended for real estate professionals and their authorized representatives who have been invited by Nouvel, and for visitors to our public website. You must be at least 18 years old to use the Platform. By using the Platform, you represent that any information you provide is accurate and that you are authorized to act on behalf of the brokerage or business you identify.

2. Accounts and access

Access to the client area of the Platform is by invitation. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at the contact address below if you believe your account has been accessed without authorization. We may suspend or terminate access at our discretion, including for violation of these Terms.

Your use of the Platform is also subject to our Privacy Policy, which describes the information we collect, including usage information, and how we use it.

3. The service, in brief

Nouvel prepares marketing materials, content plans, documents, and related deliverables for its clients. Materials made available through the Platform are drafts and deliverables prepared for your review. You are responsible for reviewing and approving all materials before publishing, printing, distributing, or otherwise using them. Nothing on the Platform is published on your behalf without your approval.

4. Your content

"Client Content" means the documents, images, brand information, listing details, and other materials you provide to Nouvel or that are stored on the Platform on your behalf. You retain ownership of your Client Content. By providing it, you grant Nouvel a limited license to store, process, and use Client Content for the purpose of providing services to you, including uploading and managing it on the Platform on your behalf. You represent that you have the rights necessary to provide and use your Client Content, including any photographs, logos, and listing information.

5. Deliverables and ownership

Ownership and license terms for materials Nouvel creates for clients are set out in the applicable service agreement. Unless that agreement says otherwise, deliverables are provided for your business use once approved and any applicable fees are paid. The Nouvel name, wordmark, website design, templates, and underlying systems remain the property of Nouvel and may not be copied, resold, or reused outside your engagement with us.

6. Professional and legal compliance

You are solely responsible for ensuring that any materials you approve and use comply with all laws, regulations, and rules that apply to you, including the Fair Housing Act, state and federal advertising laws, the rules of the North Carolina Real Estate Commission or other applicable licensing bodies, MLS rules, and the policies of your brokerage or franchise. Nouvel prepares materials for your review; you are the licensed professional and the final check. Nouvel does not provide legal, compliance, or brokerage advice.

7. Acceptable use

You agree not to use the Platform to upload or distribute content that is unlawful, infringing, deceptive, or discriminatory; attempt to access accounts, projects, or data that do not belong to you; interfere with the operation or security of the Platform; or copy, scrape, reverse engineer, or resell any part of the Platform.

8. Third-party services

The Platform relies on third-party providers for functions such as hosting, data storage, email delivery, and document generation. We choose these providers with care, but we are not responsible for interruptions or failures caused by third-party services.

9. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Nouvel disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any deliverable will achieve a particular business result.

10. Limitation of liability

To the fullest extent permitted by law, Nouvel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or loss of data, arising out of or related to your use of the Platform. Nouvel's total liability for any claim arising out of or related to the Platform or these Terms will not exceed the amounts you paid to Nouvel in the three months before the event giving rise to the claim, or one hundred dollars if you have paid nothing.

11. Indemnification

You agree to indemnify and hold Nouvel harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Client Content, your use of approved deliverables, or your violation of these Terms or of any law or third-party right.

12. Termination

You may stop using the Platform at any time. We may suspend or terminate your access for violation of these Terms or as provided in your service agreement. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify active clients by email or through the Platform and indicate the new effective date. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising out of these Terms or the Platform will be resolved in the state or federal courts located in Wake County, North Carolina, and you consent to jurisdiction and venue there.
